Terms and Conditions of Use

INJURY AND CLAIM LIMITED

Effective Date: 1st October 2026 Last Updated

1. Introduction

These Terms and Conditions of Use (“Terms”) govern access to and use of the website, online portal, applications, communications systems, and related services operated by Injury and Claim Limited (“Injury and Claim”, “ICL”, “we”, “us”, or “our”), a company incorporated under the laws of the Federal Republic of Nigeria.

By accessing the Portal, creating an account, submitting information, submitting a Claim, paying a fee, or otherwise using the Services, you (“you”, “your”, “User”, or “Claimant”) agree to be bound by these Terms. If you do not agree, do not use the Portal.

These Terms should be read together with the Privacy Policy, Cookie Policy, Claims Process, Fee Schedule, Acceptable Use Policy, Expert Terms, and any Claimant Engagement Agreement or other agreement issued to you.

2. Definitions

  • Claim: a demand, complaint, potential legal entitlement, compensation request, action or other matter submitted through the Portal.
  • Claimant: a person who submits, or on whose behalf another person submits, a Claim.
  • Expert: an independent professional or specialist, including lawyers, medical professionals, engineers, loss adjusters, investigators, valuers, and other specialists.
  • Portal: www.injuryandclaim.com and related digital platforms, applications, accounts, and technology operated by ICL.
  • Services: the technology, administrative, claims-support, coordination, communication, and related services made available through the Portal.
  • Compensation: any settlement, damages, award, payment, recovery, benefit, or other compensation obtained in connection with a Claim.
  • Fees: administrative fees, platform or recovery fees, professional fees, expenses, disbursements, taxes and other charges applicable to a Claim.

3. Nature of Injury and Claim’s Business

Injury and Claim operates a technology-enabled claims-support and compensation platform. The Portal enables individuals to report potential Claims, submit evidence, receive administrative support, communicate with the Company and, where appropriate, obtain access to independent professional Experts.

Injury and Claim is not automatically a law firm, insurer, medical provider, or guarantor of compensation merely because a person uses the Portal. Submission of a Claim does not constitute acceptance of representation. A Claim is accepted only when ICL expressly confirms acceptance in writing or electronically.

Where Experts are engaged, they remain responsible for their professional judgments and services and may be subject to separate engagement terms.

4. Eligibility and Authority

You must have legal capacity to enter into these Terms. Where a Claim concerns a minor, a deceased person, a person lacking capacity, or another vulnerable person, the Company may require evidence that the person submitting the Claim is properly authorised.

You must not impersonate another person, create an account using false information, or submit a Claim without appropriate authority.

5. Registration and Account Security

  • Provide accurate, complete, and current information.
  • Keep login credentials confidential and immediately report suspected compromise.
  • Do not share credentials or permit unauthorised use of your account.
  • Do not create multiple accounts to circumvent restrictions.

6. Submission and Assessment of Claims

The Company may request identification, incident reports, medical records, photographs, videos, witness details, police reports, employment records, receipts, correspondence, insurance information, expert reports, and other relevant evidence.

The Company may conduct a preliminary assessment having regard to evidence, potential liability, applicable law, limitation periods, jurisdiction, estimated value, evidential strength, proportionality, and availability of appropriate Experts.

ICL may decline or discontinue a Claim where there is insufficient evidence, apparent fraud, a conflict of interest, lack of prospects, commercial impracticality, regulatory risk, or where the matter falls outside the Company’s service area or mandate.

7. Limitation Periods

Different Claims may be subject to statutory limitation periods, procedural deadlines, and notice requirements. Submission of a Claim to ICL does not stop, suspend, or extend any limitation period. Claimants remain responsible for protecting their legal rights within applicable deadlines.

8. Acceptance of a Claim

Acceptance may be conditional on verification, execution of a further agreement, payment of an applicable administrative fee, conflict checks, or other stated conditions. ICL may subsequently discontinue a Claim if material facts emerge that were not reasonably available at the time of initial acceptance.

9. Fees and Charges

Applicable Fees will be disclosed before the relevant charge becomes payable, subject to applicable law. Fees may include an administrative/onboarding fee, an agreed recovery or success fee, professional fees, third-party costs, disbursements, and applicable taxes.

Where the relevant Claimant Engagement Agreement provides for a recovery-based fee, ICL may deduct the agreed percentage from Compensation recovered through or in connection with the Claim. The specific percentage and treatment of expenses shall be stated in the applicable engagement documentation.

Claimants should not make payments to employees, Experts, or third parties through unofficial channels or personal accounts unless expressly authorised by ICL.

10. Recovery and Payment of Compensation

Where Compensation is received through ICL or its designated account, ICL may, subject to the applicable engagement agreement and law, verify the payment, deduct agreed Fees and authorised expenses, account for applicable taxes or statutory deductions, and remit the balance to the Claimant.

The Claimant may request reasonable information concerning the calculation of amounts payable.

11. Claimant Warranties and Cooperation

You warrant that the information and documents supplied are true and accurate to the best of your knowledge; the documents are genuine; you have authority to provide information concerning other persons; and you have not deliberately withheld material information.

  • Preserve relevant evidence.
  • Attend reasonable appointments and consultations.
  • Provide documents and information promptly.
  • Respond to reasonable communications.
  • Disclose material developments.
  • Provide truthful statements and cooperate with authorised Experts.

12. Fraud and Misconduct

ICL has a zero-tolerance approach to fraudulent Claims. Fraud may include fabricating an incident, exaggerating injuries, forging or altering documents, providing false witness information, concealing material facts, impersonation, duplicate Claims, or deliberately misleading insurers, employers, authorities, or other parties.

Where fraud is suspected, ICL may suspend or terminate the Claim, refuse further Services, seek recovery of improperly paid amounts, notify relevant Experts or authorities, and take lawful action.

13. Independent Experts

ICL may engage, refer or introduce independent legal, medical, engineering, investigation, valuation, loss-adjusting or other professionals. Unless expressly stated otherwise, such Experts are independent and responsible for their professional opinions and services. ICL does not guarantee the performance or outcome of an Expert’s work.

14. Conflicts of Interest

The Company may conduct conflict checks before accepting or continuing a Claim. If a conflict arises, ICL may decline the Claim, cease acting, refer the matter to another Expert, obtain appropriate consent where legally permissible, or take another lawful step to manage the conflict.

15. Emergency Situations

The Portal is not an emergency response service. If you require urgent medical attention, police assistance, ambulance services, fire services, or other emergency assistance, contact the appropriate emergency service immediately. Do not delay emergency care while using the Portal.

16. Medical and Sensitive Information

Claims may involve medical information and other sensitive personal data. Such information may be shared, subject to applicable law, with authorised legal or medical professionals, Experts, insurers, investigators, courts, regulators or other persons reasonably required to assess, administer or resolve the Claim.

17. Data Protection and Privacy

ICL shall process personal data in accordance with applicable Nigerian data-protection law and its Privacy Policy. Information may be processed for Claim assessment and administration, communications, Expert engagement, legal and regulatory compliance, fraud prevention, record keeping, dispute resolution, security and legitimate business purposes.

The Company may retain records for as long as reasonably necessary for the purposes described in its retention policy and applicable law.

18. Confidentiality

ICL will take reasonable measures to protect confidential information. Confidentiality may be subject to lawful disclosure to professional advisers, Experts, insurers, courts, regulators, law-enforcement agencies or other persons where required by law or reasonably necessary to administer or protect a Claim.

19. Intellectual Property

All rights in the Portal, including software, design, databases, interfaces, logos, trademarks, text and proprietary materials, belong to or are licensed to ICL unless otherwise stated. Users may not copy, scrape, reverse engineer, reproduce, resell or misuse the Portal or its proprietary content.

20. User Content

You retain ownership of materials you lawfully own and submit. You grant ICL a limited, non-exclusive right to store, reproduce, transmit and disclose such material as reasonably necessary to provide the Services, administer the Claim, comply with law or protect legitimate interests.

21. Prohibited Use

  • Fraudulent or unlawful activity.
  • Impersonation or submission of false information.
  • Uploading malware or interfering with security.
  • Unauthorised access, scraping or harvesting of information.
  • Harassment, threats or intimidation.
  • Infringement of intellectual property or privacy rights.
  • Attempts to manipulate the Claims process or circumvent security measures.

22. Platform Availability and Cybersecurity

ICL will use reasonable efforts to maintain Portal availability and security. Temporary interruptions may arise from maintenance, upgrades, telecommunications or internet failures, power outages, cybersecurity incidents, third-party failures, regulatory action or events beyond reasonable control.

No internet transmission or electronic storage system can be guaranteed to be completely secure. Users should not provide passwords, PINs, OTPs or similar authentication credentials through ordinary Portal communications.

23. Third-Party Websites

The Portal may contain links to third-party websites or services. ICL does not control and is not responsible for their content, availability, security, privacy practices or terms.

24. Artificial Intelligence and Automated Tools

ICL may use artificial intelligence, machine-learning systems or automated tools for information classification, document organisation, preliminary assessment, fraud detection, communication and workflow management. Automated tools do not replace professional legal, medical or other expert judgment. Where legally significant professional decisions are required, appropriate human review will be applied where required.

25. Legal Information Disclaimer

General information on the Portal is provided for informational purposes and should not automatically be treated as legal, medical, or other professional advice. Users should obtain professional advice where appropriate.

26. No Guarantee of Outcome

ICL does not guarantee that a Claim is valid, will be accepted, will settle, will result in Compensation, will achieve a particular value, or will succeed in litigation or other proceedings. Past results or examples do not guarantee future outcomes.

27. Liability

Nothing in these Terms excludes or restricts liability to the extent prohibited by applicable law. Subject to applicable law, ICL shall not be liable for losses arising solely from inaccurate information supplied by a Claimant, a Claimant’s failure to comply with deadlines, independent professional decisions of an Expert, third-party acts, internet or telecommunications failures, or circumstances outside ICL’s reasonable control.

Nothing in these Terms excludes liability for fraud, fraudulent misrepresentation, wilful misconduct or any other liability that cannot lawfully be excluded or limited.

28. Indemnity

To the extent permitted by law, you agree to indemnify ICL against reasonable losses, claims, liabilities, costs, and expenses arising directly from your fraud, deliberate provision of false information, unlawful use of the Portal, infringement of another person’s intellectual property rights, unauthorised disclosure of confidential information, or material breach of these Terms. This does not apply to losses caused by ICL’s own fraud, negligence, willful misconduct, or liability that cannot lawfully be transferred.

29. Suspension and Termination

ICL may suspend or terminate access where these Terms are materially breached, fraud is suspected, account security is compromised, false information is provided, abusive conduct occurs, legal or regulatory requirements prevent continued service, or continued access presents material security or operational risk.

Termination does not automatically extinguish rights or obligations accrued before termination.

30. Complaints

Users should first submit complaints to ICL with the Claim reference number, contact details, a description of the issue, relevant supporting documents, and the outcome sought. Nothing in this process removes statutory rights to complain to an appropriate regulator or authority.

31. Dispute Resolution

The parties shall endeavour to resolve disputes amicably through good-faith negotiation and, where appropriate, mediation. Nothing prevents a party from seeking urgent interim or protective relief from a competent court.

32. Governing Law and Arbitration

These Terms are governed by the laws of the Federal Republic of Nigeria. Subject to any applicable arbitration agreement and statutory rights, disputes shall be subject to the jurisdiction of competent Nigerian courts.

Where a separate Claimant Engagement Agreement provides for arbitration, disputes shall be referred to arbitration in accordance with applicable Nigerian arbitration law and the procedure stated in that agreement. A party may seek urgent interim relief from a competent court where permitted by law.

33. Force Majeure

ICL is not responsible for failure or delay caused by circumstances reasonably beyond its control, including natural disasters, war, terrorism, civil unrest, government action, epidemics, telecommunications failure, major cybersecurity incidents, power outages, strikes or infrastructure failure. ICL will use reasonable efforts to resume affected Services.

34. Changes to These Terms

ICL may update these Terms from time to time. Where changes are material, reasonable notice will be provided through the Portal or another appropriate communication channel. Updated Terms will apply from the stated effective date, subject to applicable law.

35. Severability and No Waiver

If any provision is unlawful, invalid, or unenforceable, it shall be modified or severed to the minimum extent necessary, and the remaining provisions shall continue in force. Failure to enforce a provision does not constitute a waiver of the right to enforce it later.

36. Assignment

You may not transfer your rights or obligations under these Terms without ICL’s prior written consent, except where permitted by law. ICL may assign or transfer its rights and obligations in connection with a restructuring, merger, acquisition, sale of assets, or similar transaction, subject to applicable law.

37. Electronic Acceptance

By clicking “I Agree,” creating an account, submitting a Claim, submitting documents, electronically signing an agreement, paying an applicable fee, or continuing to use the Portal after being presented with these Terms, you acknowledge acceptance of these Terms to the extent permitted by law. Electronic records may be retained as evidence of acceptance.

38. Children, Vulnerable Persons and Deceased Persons

Claims involving minors, persons lacking capacity or deceased persons should be submitted by an appropriately authorised parent, guardian, personal representative, or other authorised person. ICL may request evidence of such authority, including identification, death certificates, probate or administration documents, court orders or other appropriate documentation.

39. Special Category Claims

Claims involving sexual harassment, sexual assault, medical negligence, domestic violence, police misconduct, unlawful detention, child-related incidents, death or serious injury will be handled with appropriate confidentiality and sensitivity. Relevant information may nevertheless need to be disclosed to authorised professionals, authorities, insurers, courts, or other parties for lawful Claim administration.

40. Marketing and Testimonials

Where legally permitted and where appropriate consent has been obtained, ICL may send marketing communications. Users may opt out of non-essential marketing communications. Voluntary testimonials or reviews may be used for legitimate business purposes subject to applicable law and any permissions given.

41. Anti-Bribery and Corruption

Users, Experts and representatives must not offer, request, promise or accept bribes, kickbacks, unlawful inducements or improper payments in connection with a Claim. ICL may terminate relationships and report suspected unlawful conduct where appropriate.

42. Non-Circumvention

Where a Claimant is introduced to an Expert through ICL, the Claimant shall not knowingly use that introduction to circumvent agreed ICL Fees or arrangements. This does not prevent a Claimant from exercising a lawful right to choose a professional adviser. Separate Expert or Claimant agreements may contain additional non-circumvention obligations.

43. Notices

Formal notices to ICL should be sent to the Company’s registered office or designated legal/compliance email address as published on the Portal. ICL may send notices to the email address, telephone number or other contact details registered by the User.

45. Important Notice to Claimants

Submitting a Claim does not mean ICL has accepted the Claim, appointed a lawyer, guaranteed Compensation or guaranteed the value of the Claim. Submission also does not suspend any statutory limitation period. Where ICL accepts a Claim, you may be required to enter into a separate Claimant Engagement Agreement setting out the specific commercial and professional terms.
